1. Introduction and Acceptance
These Terms of Service ("Terms") are a legal agreement between you and SocialPro Management LLC ("SocialPro," "we," "us," or "our") governing your access to and use of SocialPro Intelligence (the "Service"). By creating an account, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of a business, agency, or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.
2. The Service
SocialPro Intelligence is an AI-powered content analysis and strategy platform. Today, you provide content by pasting a public social media post URL or uploading your own video or image files, along with performance metrics you enter manually. The Service uses AI to analyze your content and generate creative feedback, recommendations, weekly strategy briefs, content ideas, captions, and related outputs.
The Service does not currently offer direct connections to third-party social media accounts (such as Instagram, TikTok, or YouTube). We may introduce such connections through official platform APIs in the future; Section 3 (Acceptable Use) describes the rules that will govern them if and when they launch.
We may add, change, or discontinue features of the Service at any time. We will try to give reasonable notice of changes that materially reduce the Service's functionality, but we are not obligated to maintain any specific feature indefinitely.
3. Accounts
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must provide accurate information when creating your account and keep it up to date.
- You are responsible for notifying us promptly if you suspect unauthorized access to your account.
- One account may not be shared across multiple unrelated individuals or organizations without our consent.
4. Acceptable Use
You agree not to:
- Upload, submit, or paste content you do not own or are not authorized to use or analyze.
- Use the Service to violate any applicable law, or the terms of service of any third-party platform (including any social media platform whose content you paste or connect).
- Attempt to scrape, reverse engineer, or extract data from the Service beyond your own account's content, or interfere with the Service's normal operation.
- Use the Service to generate content that is unlawful, infringing, defamatory, or that impersonates another person or entity.
- Share your account access with unauthorized third parties, or resell or white-label the Service without our written consent.
- Use automated means (bots, scripts) to access the Service outside of any API we officially provide.
If we add social media account connections
If the Service later offers the ability to connect third-party social media accounts through official platform APIs, the following rules will apply: you may only connect accounts you own or are authorized to manage; the Service will only access data made available through each platform's official API; you may disconnect a connected account at any time, and separately revoke access directly from that platform's own settings; connected access may not be used to scrape competitor or third-party content, or to automate likes, comments, follows, shares, or other engagement or posting activity; and the Service will be used in accordance with each platform's applicable developer policies and terms.
5. Content Ownership and License
Your content
You retain all ownership rights in the content you upload or submit to the Service ("Your Content") and in the AI-generated outputs produced from Your Content — including analysis, scores, recommendations, briefs, strategy plans, content ideas, and captions ("Outputs").
You grant SocialPro a limited, non-exclusive, worldwide license to host, store, process, and display Your Content and the Outputs solely as necessary to provide and improve the Service to you. This license ends when you delete the relevant content or your account, except as described in our Privacy Policy regarding data retention and anonymized/aggregated data.
You represent that you own, or are authorized to submit, Your Content, and that it does not infringe any third party's rights.
Our platform
SocialPro owns all rights in the Service itself — its software, design, prompts, branding, and underlying technology — excluding Your Content and the Outputs. Nothing in these Terms transfers any ownership of the Service to you.
AI outputs are advisory, not guaranteed
Analysis, scores, retention predictions, performance predictions, and recommendations generated by the Service are AI-generated estimates intended to help inform your content strategy. They are not guarantees of actual performance, and SocialPro is not responsible for business or content decisions made in reliance on them.
6. Fees
The Service does not currently have a paid subscription plan. If we introduce paid plans or features in the future, the applicable fees, billing terms, and any free-tier limitations will be presented to you before you're charged, and these Terms will be updated accordingly.
7. Suspension and Termination
- You may stop using the Service at any time, and may request deletion of your account as described in our Privacy Policy.
- We may suspend or terminate your access to the Service if you violate these Terms, if we reasonably believe your use of the Service poses a security or legal risk, or if required by law.
- We will provide notice of suspension or termination where reasonably practicable, except where immediate action is necessary to protect the Service or other users.
- Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and dispute resolution) will survive.
8. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that AI-generated analysis or recommendations will be accurate, complete, or achieve any particular result.
9. Limitation of Liability
To the maximum extent permitted by law, SocialPro will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service.
To the maximum extent permitted by law, SocialPro's total liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid SocialPro in the 12 months before the claim arose, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify and hold SocialPro harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: your use of the Service in violation of these Terms; Your Content, including any claim that it infringes a third party's rights; or your violation of any third-party platform's terms of service in connection with your use of the Service.
11. Dispute Resolution and Arbitration
Please read this section carefully — it affects your legal rights, including your right to file a lawsuit in court.
Agreement to arbitrate
You and SocialPro agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.
Class action waiver
You and SocialPro agree that any arbitration or claim will be conducted only on an individual basis and not as a class, collective, or representative action. The arbitrator may not consolidate more than one person's claims.
Right to opt out
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to admin@socialpromanagement.com with your name, account email, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor SocialPro will be required to arbitrate, and disputes will instead be resolved as described in Section 12 (Governing Law).
Arbitration details
Arbitration will be administered by a recognized arbitration provider (such as the American Arbitration Association) under its rules for consumer or commercial disputes, as applicable, and will take place in, or be conducted remotely with a venue in, Utah, unless you and SocialPro agree otherwise.
12. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles, except to the extent Section 11 (Dispute Resolution and Arbitration) applies. For any dispute not subject to arbitration (including if you validly opt out), you and SocialPro agree to the exclusive jurisdiction of the state and federal courts located in Utah.
13. Copyright Complaints (DMCA)
If you believe content accessible through the Service infringes your copyright, you may send a notice to admin@socialpromanagement.com including: a description of the copyrighted work you claim has been infringed; a description of where the allegedly infringing material is located within the Service; your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.
We will respond to valid notices in accordance with applicable copyright law, which may include removing or disabling access to the reported content.
14. Marketing and Case Studies
We may ask your permission to reference your business, use your name or logo, or describe your results as a case study or testimonial. We will not do so without your prior consent, and you may decline or withdraw consent at any time.
15. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will update the "Last Updated" date below and, where required by law, provide additional notice (such as an in-app notice or an email to the address on your account). Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
16. General
- These Terms, together with our Privacy Policy, constitute the entire agreement between you and SocialPro regarding the Service.
- If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
- Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
- You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
